We are seeking a detail-oriented and experienced Corporate Secretary to support the corporate governance and secretarial functions for an SGX-listed company. The ideal candidate will have experience working within a listed company and be proficient in handling board minutes, AGMs/EGMs, shareholder matters, statutory filings, and corporate secretarial activities.
Take accurate and comprehensive minutes for Board meetings and Board Committees.
Ensure timely distribution of minutes and resolutions to all relevant stakeholders.
Handle the preparation, coordination, and execution of Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs) for listed entities.
Collaborate with Share Registrars on general shareholder related matters.
Ensure quarterly statutory filings with the Monetary Authority of Singapore (MAS) for business trusts are completed on time.
Keep up to date with regulatory changes to ensure continued compliance.
Coordinate with external secretarial firms on corporate governance matters related to overseas subsidiaries.
Oversee the proper management of dividend payments for listed entities.
Manage the unclaimed dividend register and handle requests for replacement dividend cheques.
Manage the allotment of shares under the Company's Restricted Share Plan and/or Performance Share Plan.
Coordinate with external service providers on company incorporation matters.
Handle company name changes, strike-offs, and other statutory filings for Singapore-incorporated entities.
Bachelor's degree from recognized university.
Excellent written and verbal communication skills, with the ability to take minutes accurately and professionally.
Strong organizational and coordination skills, with the ability to manage multiple tasks efficiently.
In-depth knowledge of corporate governance practices and familiarity with regulatory requirements for listed entities.
Familiarity with statutory filings, shareholder communications, and compliance requirements.
Knowledge of share registration processes, AGM/EGM coordination, and corporate secretarial practices.
Strong attention to detail, with the ability to manage complex tasks independently.
Must have experience as a corporate secretary in a listed entity or public companies.
