Our Client, an investment holding company is currently looking for an in-house Corporate Secretary.
The Corporate Secretary is responsible for handling full spectrum of corporate secretarial work for group companies in Singapore and other countries, including offshore jurisdictions
Responsibilities:
- Draft and manage the circulation of meeting minutes, directors resolutions, and shareholders resolutions.
- Maintain statutory registers and corporate records and ensure corporate documents are properly organized and securely stored.
- Prepare and submit statutory filings in multiple jurisdictions.
- Engage with local agents.
- Ensure group companies compliance with applicable corporate laws and monitor regulatory developments impacting corporate compliance.
- Provide support in dealing with KYC requests.
- Develop and recommend improvements to policies and procedures relating to corporate compliance to enhance efficiency and effectiveness.
- Classify and archive controlled documents (physical and electronic) pursuant to the group's document management requirements.
Requirements:
- Degree in Law, Business Administration, or a related field.
- At least 8 years of relevant experience, preferably with a corporate service provider or in a similar in-house role with multi-jurisdictional experience.
- Strong knowledge of statutory filings and regulatory compliance in offshore jurisdictions.
- Ability to communicate clearly and collaborate effectively with internal and external stakeholders.
- Able to work independently and complete projects on time with minimal supervision.
- Able to plan, take responsibility for areas of work and display initiative in solving problems.
- A strong desire to excel at whatever task is at hand, seeking always to achieve high levels of professionalism and quality standards.
- Able to communicate in a concise and confident manner.
