Key Responsibilities
A. Legal Advisory and Strategy
- Serve as the primary legal advisor to the executive team and board of directors, providing expert legal advice on a wide range of business matters, including corporate strategy, mergers and acquisitions, joint ventures, and major contracts.
- Develop and implement legal strategies that align with the company's overall business goals, safeguarding the company's legal and business interests in both domestic and international operations.
B. Regulatory Compliance
- Monitor and ensure compliance with all applicable laws, regulations, and industry standards relevant to the company's operations, such as corporate law, securities regulations, labor laws, data protection laws, and antitrust laws.
- Develop and implement compliance programs and training initiatives to educate employees about legal and regulatory requirements and promote a culture of compliance throughout the organization.
- Coordinate with regulatory authorities and handle any inquiries, investigations, or audits in a timely and appropriate manner.
C. Corporate Governance
- Ensure the company's corporate governance practices comply with legal requirements and best practices, advising on board composition, fiduciary duties, and corporate policies and procedures.
- Participate in board meetings and committees as a legal expert, providing guidance on legal and governance matters and contributing to the development of sound corporate decisions.
Qualifications and Skills
A. Experience
- Minimum of [15] years of progressive legal experience, preferably with a combination of law firm and in-house corporate legal experience.
- Proven track record in handling complex legal matters, including corporate transactions, litigation, and regulatory compliance in a corporate setting.
B. Knowledge and Skills
- In-depth knowledge of corporate law, contract law, litigation, regulatory compliance, intellectual property law, and other relevant legal areas.
- Strong analytical, problem-solving, and decision-making skills, with the ability to provide practical and strategic legal solutions.
- Excellent written and verbal communication skills, with the ability to communicate complex legal concepts clearly and effectively to non-legal stakeholders.
- Exceptional negotiation and drafting skills, with a focus on achieving favorable outcomes in legal transactions and disputes.
- Demonstrated leadership and management skills, with the ability to build and lead a high-performing legal team and collaborate effectively with cross-functional teams.
- Ability to work under pressure, manage multiple priorities, and meet tight deadlines in a fast-paced and dynamic business environment.
