Legal Counsel ( Crypto Fund Management) - SG/HK/Shang Hai/ Shen Zhen

My client is a global crypto prime broker headquarter with close to 1 trillion trading volume in 2023 ,They are looking for a legal counsel to join their team.

Candidates can be based in these locations : Shanghai, Shenzhen, Hong Kong , Singapore

Responsibilities

1. Review and help prepare a full set of documentation for the set-up and launch of new

crypto fund offerings.

2. Draft and/or review documentation relating to a variety of fund structures and fund

contracts, including PPM, subscription agreements, side letters, term sheets,

management, investment management, distribution, administration and depositary

agreements.

3. Research legal and regulatory considerations relevant to specific clients, products and

jurisdictions, and have strong awareness of market standards for fund terms.

4. Oversee marketing registrations in jurisdictions globally.

5. Lead the design, formation and negotiation of customized separate accounts for

leading international, institutional investors.

6. Research and develop customized crypto fund structures.

7. Review applications and liaise with regulatory authorities on licensing and

compliance matters relating to fund manager.

8. Overview of corporate secretarial matters for several funds

Requirements

1. Qualified lawyer with relevant experience working within an Asset

Management/Investment Funds team at a law firm, or inhouse at Management

Company, Fund Administrator or Financial Services business.

2. Excellent technical knowledge of the relevant legal and regulatory landscape

including fund related regulatory requirements.

3. Experience in general corporate and commercial practice is a must, with exposure to

crypto and/or capital markets being an added advantage.

4. Responsible and strong drive to meet tight timelines.
