What We Need:
We are actively searching for a qualified Legal Officer to join our growing startup! This individual will be responsible for upholding our company's reputation through meticulous adherence to international legal guidelines, offering insightful legal counsel to the management team on a range of pertinent issues.
The ideal candidate will not only ensure legal conformity but also work proactively to minimize the likelihood of any legal exposure. We are looking for someone with a robust legal background who can provide strategic guidance to safeguard the interests of the company in a dynamic business environment.
Key Responsibilities:
- Provide legal advice and support to the group of companies and affiliates under Rarespawn Ventures on various matters, ensuring compliance with applicable laws and regulations in international markets.
- Manage the complete contract lifecycle, from pre-contract activities to post-contract management and termination/renewal. Draft and review term sheets and contracts and ensure they comply with legal and regulatory requirements and company goals.
- Act as the primary point of contact for contract-related queries and disputes and manage the resolution process.
- Conduct legal research to stay informed about changes in laws and regulations that may impact the business.
- Identify and mitigate legal risks and ensure that risk management strategies are implemented. Collaborate with internal stakeholders to assess and manage legal risks associated with business operations.
- Manage the group's intellectual property portfolio and advise on IP matters, including trademarks, copyrights, and patents.
- Handle litigation matters, if any, and work closely with external counsel when required.
- Assist in the development and implementation of corporate policies to maintain legal and ethical standards.
- Conduct training sessions for employees to enhance legal awareness within the organization.
- Monitor and ensure compliance with data protection and privacy laws.
- Represent the company in negotiations and legal proceedings when necessary.
- Manage due diligence requirements with key vendors and partners.
- Maintain accurate and up-to-date legal and contract records, including contract documentation, correspondence, termination, and financial data.
Who We Think Will Be A Great Fit:
- Minimum 7 years of Legal experience, ideally managing group level of companies
- Prior experience with M&A in a law firm will be preferred
- Strong knowledge of corporate law, contract law, and other relevant legal areas.
- Able to support group level legal activities and be adaptable to a fast-changing environment.
- Experience drafting and reviewing contracts.
- Excellent communication and negotiation skills.
- Ability to work independently and collaboratively in a dynamic international environment.
- Sound judgment and analytical thinking to provide strategic legal advice.
- High level of integrity and commitment to maintaining confidentiality.
- Detail-oriented with strong organizational skills.
