Purpose of the Job
Provide legal (finance and corporate) support to the legal team in particular with respect to project financing in support of the Companys existing and prospective global business
Provide general legal advice with respect to the Companys business in Asia Pacific and Middle East (APME)
Provide a central point of connection and coordination within Legal team for all Finance related interactions
Procure and manage outside Legal counsel as necessary in accordance with LOA
Key Accountabilities
Negotiate, structure, draft and finalize finance agreements including RCFs, Asset Finance, Hedging Contracts and associated term sheets.
Advise and review, on existing contractual arrangements involved in international shipping.
Advise and support as required on the Companys corporate and commercial projects and initiatives being led/sponsored by the General Counsel, across corporate governance, capital/financial markets and decarbonisation/ESG.
Advise management on, and monitor, developments in the law for APME and other relevant jurisdictions relating to the Companys business.
Advise with respect to general matters from the Companys offices in APME including employment issues, real property, risk managementand corporate administration.
Manage dispute resolution across APME and liaise with outside counsel in connection with litigation and arbitration.
Liaise within the Legal & Integrity division and with the other departments within the Company as required, including but not limited to Finance, IT, HSSE and HR departments.
Provide daily Legal advice for the APME region as required. Keeping up to date with developments in laws and regulations in APME.
Provide guidance to more junior legal colleagues as required.
Conduct legal research as required.
Implement frameworks, formulate ideas and research material which contributes to the value-added activities of the legal group.
To comply with Company's policies and Code of Conduct and Business Ethics (CoBE)
Capable of executing Crisis Management Responsibilities as required by role
Manage/Assist in Companys emergency response procedures to incidents, claims and dispute resolution in connection with litigation and arbitration in APME.
Manage/Assist in corporate secretarial transactions including corporate administration, board resolutions, board meetings.
Qualifications
Education: Legal Degree
Professional Certification: A legal practice certificate from a common law country or other relevant jurisdiction. Dual qualification an advantage.
Experience: At least 8 years as a lawyer in a law firm and/or a corporation with exposure to the shipping, financial services, corporate and commercial matters. Sound knowledge of International transactional and project work.
Specialized knowledge: Corporate experience especially with shipping finance.
Skills and Abilities: Proficiency of English.
